2. Description of Services

Wing Snob is a food service business operating in the United States that offers customers the ability to browse menu items, place food orders, schedule deliveries or pickups, and interact with our online food ordering platform. Our Services include, but are not limited to:

• Online Food Ordering: The ability to browse our menu, customize food orders, and submit orders for preparation through the Site;
• Delivery and Pickup Services: Facilitation of food delivery to designated addresses or in-store/curbside pickup from our location(s);
• Account Management: The ability to create a user account to manage orders, preferences, saved payment methods, and order history;
• Promotions and Loyalty Programs: Access to special offers, discount codes, promotional campaigns, and customer loyalty rewards (subject to separate terms and conditions);
• Customer Support: Access to our customer service team for assistance with orders, complaints, refunds, and general inquiries;

Wing Snob reserves the right, at its sole discretion, to modify, suspend, discontinue, or restrict access to any part of the Services at any time, with or without notice, for any reason including but not limited to maintenance, upgrades, legal compliance, or business decisions. We shall not be liable to you or any third party for any such modifications, suspensions, or discontinuations.

The availability of menu items, pricing, and service areas is subject to change without prior notice. Certain Services may only be available in specific geographic areas, and Wing Snob makes no representations that all Services will be available in all locations.

3. User Accounts and Registration

• Uploading, transmitting, or distributing any viruses, malware, spyware, or other malicious or harmful code;
• Using any automated system, robot, spider, scraper, or other data extraction tool to access the Site or harvest information without our express written permission;
• Placing fraudulent, false, or duplicate orders with the intent to deceive or defraud Wing Snob;
• Misrepresenting your identity or affiliation with any person or entity;
• Interfering with or disrupting the integrity or performance of the Site or the data contained therein;
• Reverse engineering, decompiling, disassembling, or attempting to derive the source code of any portion of the Site;
• Reproducing, duplicating, copying, selling, reselling, or exploiting any portion of the Site for commercial purposes without our express written consent;
• Using the Services to collect or store personal data about other users without their express consent;
• Posting or transmitting any content that infringes any patent, trademark, trade secret, copyright, or other intellectual property rights of Wing Snob or any third party; and
• Engaging in any conduct that restricts or inhibits any other user from using or enjoying the Site.

Wing Snob reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including reporting such activity to law enforcement authorities and terminating the offending user's account.

5. Payment Terms and Order Policies

5.1 Pricing and Fees

All prices displayed on the Site are in United States Dollars (USD) and are subject to change without prior notice. Prices do not include applicable sales taxes, delivery fees, service charges, or tips for delivery personnel unless explicitly stated. The total cost of your order, including all applicable fees and taxes, will be displayed to you before you confirm and submit your order.

5.2 Payment Methods

Wing Snob accepts various forms of payment as indicated at checkout. By submitting your payment information, you represent and warrant that:

• You are authorized to use the payment method provided;
• The payment information you supply is accurate and complete; and
• Charges incurred by you will be honored by your payment provider.

Wing Snob uses industry-standard encryption and security protocols to protect your payment information. We do not store complete credit or debit card numbers on our servers. Payment processing is handled by third-party payment processors, and your use of those services is subject to the applicable processor's terms and privacy policies.

5.3 Order Confirmation and Cancellations

An order is not confirmed until you receive a written order confirmation via email or through the Site. Wing Snob reserves the right to cancel any order at any time for reasons including, but not limited to, unavailability of items, pricing errors, suspected fraudulent activity, or inability to fulfill delivery requirements. In the event Wing Snob cancels your order, you will receive a full refund to your original payment method.

5.4 Refunds and Disputes

If you are dissatisfied with your order due to incorrect items, missing items, food quality issues, or other order-related problems, please contact our customer support team within twenty-four (24) hours of receiving your order at [email protected]. Refunds are evaluated on a case-by-case basis and may be issued as account credits, partial refunds, or full refunds at Wing Snob's sole discretion. All sales on promotional or discounted items may be final unless otherwise stated.

6. Intellectual Property Rights

All content, materials, and features on the Site — including but not limited to text, graphics, logos, images, photographs, audio clips, video clips, digital downloads, data compilations, software, menu designs, brand elements, trade dress, and the compilation and arrangement thereof — are the exclusive property of Wing Snob or its content suppliers and licensors, and are protected by United States and international intellectual property laws, including but not limited to the Copyright Act (17 U.S.C. § 101 et seq.), trademark laws, and trade secret laws.

The Wing Snob name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Wing Snob or its affiliates. You may not use such marks without the prior written permission of Wing Snob. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial use. This license does not include:

• Any resale or commercial use of the Site or its contents;
• Any collection and use of any product listings, descriptions, or prices;
• Any derivative use of the Site or its contents;
• Any downloading or copying of account information for the benefit of another party; or
• Any use of data mining, robots, or similar data gathering and extraction tools.

Any unauthorized use of the Site or its content terminates the permission or license granted herein. Wing Snob reserves all rights not expressly granted in and to the Site and its content.

Customers with severe allergies or specific dietary restrictions are strongly encouraged to contact us directly before placing an order.

Wing Snob is not responsible for the accuracy, reliability, or quality of any third-party services used in connection with our platform, including third-party delivery services, payment processors, or mapping services.

8. Limitation of Liability

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, Wing Snob's liability shall be limited to the fullest extent permitted by applicable law.

In any case, Wing Snob's aggregate liability to you for all claims arising out of or relating to the use of or inability to use the Site or Services shall not exceed the greater of: (a) the total amount paid by you to Wing Snob in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred United States dollars ($100.00).

Some states do not allow certain limitations of liability, so some of the above limitations may not apply to you. In such states, Wing Snob's liability will be limited to the greatest extent permitted by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its officers, directors, employees, agents, contractors, partners, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your violation of any applicable law, rule, or regulation;
• Your violation of any rights of any third party, including intellectual property rights, privacy rights, or consumer protection rights;

• Any claim by a third party arising from or related to your use of the Services.

Wing Snob reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You agree to cooperate fully with Wing Snob in the defense of any such claim. You may not settle any claim without Wing Snob's prior written consent.

10. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with these Terms, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States and the laws of the state in which Wing Snob's principal place of business is located, without regard to its conflict of law provisions.

To the extent that any dispute is not subject to arbitration as set forth in Section 11, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located within the applicable United States jurisdiction where Wing Snob is domiciled for the resolution of all disputes arising out of or relating to these Terms or your use of the Site and Services.

These Terms are subject to applicable federal laws of the United States, including the Federal Trade Commission Act (15 U.S.C. § 45 et seq.) governing unfair or deceptive acts and practices, the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.), and other applicable federal consumer protection statutes. If Wing Snob operates in or targets customers in the State of California, the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), may apply to the collection and processing of your personal information.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site or Services, or these Terms, must be filed within one (1) year after such claim or cause of action arose, or it will be permanently barred.

11. Dispute Resolution and Arbitration

11.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Wing Snob informally to attempt to resolve any dispute, claim, or controversy. You must send a written notice to Wing Snob at [email protected] describing the nature of your dispute and the relief you seek. Wing Snob will have thirty (30) days to respond to your notice and attempt to informally resolve the matter. If the dispute is not resolved within thirty (30) days, either party may proceed to formal dispute resolution.

11.2 Binding Arbitration

EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT, YOU AND WING SNOB AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SERVICES SHALL BE SETTLED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES, WHICH ARE AVAILABLE AT www.adr.org. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

The arbitration shall take place in the county or jurisdiction of Wing Snob's principal place of business, unless the parties mutually agree to another location or conduct the arbitration via telephone or videoconference. The arbitrator shall apply applicable federal and state law and may award any relief available in court on an individual basis.

11.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND WING SNOB AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

11.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights, unauthorized access to systems, or irreparable harm pending the outcome of arbitration.

12. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site or Services. Wing Snob may, at its sole discretion and without prior notice or liability:

• Terminate or suspend your access to all or part of the Site or Services for any reason, including breach of these Terms;
• Terminate or suspend your user account;
• Remove or disable access to any content you have posted or submitted; and/or
• Pursue any other remedies available at law or in equity.

Upon termination, your right to access and use the Site and Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, governing law provisions, and dispute resolution procedures.

14. Food Safety and Allergen Notice

Wing Snob takes food safety seriously and complies with applicable federal and state food safety regulations, including guidelines issued by the U.S. Food and Drug Administration (FDA) and applicable state health departments. However, please be aware that:

• Our food products are prepared in facilities that may handle common allergens including but not limited to peanuts, tree nuts, milk, eggs, wheat, soy, fish, and shellfish;

These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or agreements published by Wing Snob on the Site, constitute the entire agreement between you and Wing Snob with respect to your use of the Site and Services, and supersede all prior and contemporaneous agreements, communications, negotiations, representations, and understandings, whether written or oral, between you and Wing Snob relating to the subject matter herein.

No oral or written information or advice given by Wing Snob or its authorized representatives shall create any warranty or representation not expressly stated in these Terms. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Wing Snob. Wing Snob may freely assign its rights and obligations under these Terms without restriction.

18. Force Majeure

Wing Snob shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond Wing Snob's reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, governmental actions or orders, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, power outages, supply chain disruptions, or any other event of force majeure. In such circumstances, Wing Snob's performance obligations shall be suspended for the duration of the force majeure event.

By using this Site and creating an account, you consent to receive electronic communications from Wing Snob, including order confirmations, receipts, promotional emails, and other service-related communications. These electronic communications satisfy any legal requirement that such communications be in writing.
